By letter dated April 29, 2014, which was received on April 29, 2014 by e- mail, Seymour G Siegel retired as a member of the board of directors of Hauppauge Digital Inc. after serving in that position for approximately 11 years. In connection with his retirement, Mr. Siegel resigned from the Board. Mr. Siegel’s retirement and resignation are not due to any disagreements with the Company or any of its operations, policies or practices. The Company’s board of directors and management are grateful for Mr. Siegel’s commendable service on the Board since 2003, and have wished him well in his retirement.
