On June 22, 2018, Benefit Street Partners Realty Trust, Inc. (the “Company”), filed Articles Supplementary (the “Articles Supplementary”) to the Company’s Articles of Amendment and Restatement with the Maryland State Department of Assessments and Taxation, pursuant to which the Company has classified and designated 20,000 shares of Series A convertible preferred stock, $0.01 par value (the “Preferred Stock”). The Articles Supplementary became effective upon filing. A summary of the material terms of the Preferred Stock is contained in Item 1.1 of the Company’s Current Report on Form 8-K filed with the Securities and Exchange Commission on June 6, 2018, and is incorporated herein by reference. A copy of the Articles Supplementary is filed as Exhibit 3.1 hereto and is incorporated by reference into this Item 5.03. As of June 26, 2018, there were approximately 2,255 shares of Preferred Stock issued and outstanding.
