Unregistered Sales of Equity Securities


On February 1, 2016, Renewable Energy Group, Inc. (“REG”) entered into an asset purchase agreement with Sanimax Energy, LLC (“Sanimax”) to acquire Sanimax’s 20 million gallon nameplate capacity biodiesel refinery located in DeForest, Wisconsin.

Under the asset purchase agreement, REG will pay Sanimax approximately $11 million in cash and will issue 500,000 shares of REG common stock in exchange for the biorefinery and related assets.  REG may also pay Sanimax up to an additional $5 million in cash over a period of up to seven years after closing based on the volume of biodiesel produced at the plant, which will be re-named REG Madison, LLC.  Closing is subject to satisfaction of customary closing conditions.
 
The issuance of the shares of REG’s common stock in connection with the asset purchase will not be registered under the Securities Act of 1933, as amended (the “Securities Act”). It is expected that the shares will be issued pursuant to the exemption from registration provided by Rule 506 of Regulation D under the Securities Act, or another available exemption from registration as REG may determine. REG will rely upon the representations and warranties of Sanimax in support of the satisfaction of the conditions contained in Regulation D or such other available exemption from registration.
