(d) Departure of Director
On March 5, 2015, Zumiez Inc. (the “Company”) was informed of the death of director Gerald F. Ryles, who passed away on March 5, 2015. Mr. Ryles served as a director of the Company since 2005 and will be greatly missed. Mr. Ryles served as the Chair of the Compensation Committee and also served on the Audit Committee. On March 11, 2015, at a regularly scheduled Board of Directors meeting, the Company named director Mr. Travis Smith to serve as the new Chairperson of the Compensation Committee.
