On December 10, 2014, the Registrant issued a press release announcing that it has received all regulatory approvals required to complete its merger with LegacyTexas Group, Inc. After the satisfaction of customary closing conditions, including applicable waiting periods, the Registrant and LegacyTexas Group, Inc. plan to complete their merger on January 1, 2015. Immediately following completion of the merger, the Registrant will be known as LegacyTexas Financial Group, Inc. and begin trading under the ticker symbol LTXB. The Registrant's banking subsidiary will be known as LegacyTexas Bank, with branch and branding integration planned for February 2015.
