On January 28, 2014, Monotype Imaging Inc. (the “Company”) received notice from Mr. Robert M. Givens, Chairman of the Company’s Board of Directors (the “Board”), of his intent to resign as a member of the Board effective one day following the date of the Company’s 2014 Annual Stockholders meeting.
