Item 8.01 Other Events.

 

(1) Reliance on SEC Oder Providing 45-Day Extension of Filing Annual Report on Form 10-K

 

Due to the outbreak of coronavirus disease 2019 (COVID-19), Patriot National Bancorp, Inc. (the “Company”) is filing this current report on Form 8-K to avail itself of an extension to file its Annual Report on Form 10-K for the fiscal year ended December 31, 2019 (the “Annual Report”), originally due on March 30, 2020, relying on an order issued by the Securities and Exchange Commission (the “SEC”) on March 25, 2020 pursuant to Section 36 of the Securities Exchange Act of 1934, as amended (Release No. 34-88465) regarding exemptions granted to certain public companies.

 

In December 2019, a novel strain of coronavirus was reported to have surfaced in Wuhan, China, which has and is continuing to spread throughout China and other parts of the world, including the United States. On January 30, 2020, the World Health Organization declared the outbreak of COVID-19 a “Public Health Emergency of International Concern,” and on March 11, 2020, the World Health Organization characterized the outbreak as a “pandemic”.

 

Starting from early March 2020, the Company’s employees and external auditors have been asked to work remotely. As a result, the Company’s books and records have not been easily accessible and communication among internal financial staff and external auditors has been challenging, resulting in delay in preparation and completion of its consolidated financial statements. Additionally, one of the Company’s senior level financial managers has become infected with the virus and is currently hospitalized.

 

Based on the foregoing, the Company expects to file the Annual Report on or around April 30, 2020 but no later than May 15, 2020.

 

(2) No Payment of Quarterly Dividend

 

On March 26, 2020, the Company received a notice of rejection from the Federal Reserve Bank of New York regarding the Company’s request to make a quarterly dividend to its shareholders in March 2020. As a result, the Company will not be paying the dividend that would normally have been paid during the first quarter of 2020.
