Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On January 6, 2020, the Compensation Committee (the “Committee”) of the Board of Directors of GlobalSCAPE, Inc. (the “Company”) approved the payment of cash bonus compensation for eligible executive officers of the Company based on the Company’s 2019 financial results, with such compensation calculated as a percentage of an executive’s base salary. The Committee approved the payment of a bonus of $131,250 to Robert Alpert, the Company’s Interim Chief Executive Officer, $72,100 to Karen Young, the Company’s Chief Financial Officer, $84,718 to Mark Hood, the Company’s Chief Operating Officer, and $37,451 to David Mello, the Company’s Executive Vice President of Technical Services.
