Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

 

On December 13, 2019, the Board of Directors of Universal Logistics Holdings, Inc. (the “Company”) adopted an amendment (the “Bylaw Amendment”) to the Company’s Fourth Amended and Restated Bylaws (the “Bylaws”). The Bylaw Amendment eliminates the Company’s obligation under Article XI of its Bylaws to indemnify in both non-derivative and derivative actions any person who is or was serving at the request of the Company as a director, officer, employee or agent of another foreign or domestic corporation, partnership, joint venture, trust or other enterprise. The Bylaw Amendment includes conforming changes to the definition of “corporation” for purposes of Article XI and eliminates certain related definitions that are no longer applicable. The Bylaw Amendment became effective on December 13, 2019.
