PGT INNOVATIONS PRICES PUBLIC OFFERING OF ITS COMMON STOCK

NORTH VENICE, Fla. — September 13, 2018 — PGT Innovations (NYSE: PGTI), a national leader in the premium window and door category, today announced that it has priced its previously announced underwritten public offering of 7,000,000 shares of its common stock at a price to the public of $23.00 per share. PGTI has also granted the underwriters a 30-day option to purchase up to an additional 1,050,000 shares. The offering is expected to close on September 18, 2018, subject to the satisfaction of customary closing conditions.

Gross proceeds from the offering are expected to be approximately $161 million before deducting underwriting discounts and commissions and estimated offering expenses. PGTI intends to apply the net proceeds from this offering to repay indebtedness under PGTI’s existing credit facility and intends to apply any net proceeds of the underwriters’ exercise of their option to purchase additional shares to general corporate purposes.

SunTrust Robinson Humphrey, J.P. Morgan, KeyBanc Capital Markets, Jefferies, Wells Fargo Securities and Deutsche Bank Securities are serving as Joint Bookrunning Managers and Dougherty & Company is serving as Co-Manager for the offering. SunTrust Robinson Humphrey and J.P. Morgan are also serving as representatives of the underwriters for the offering.
