Item 8.01.                                 Other Events.

 

FS Energy and Power Fund (the “Company”) today announced that on August 2, 2018, it priced an offering of $500.0 million aggregate principal amount of its 7.500% senior secured notes due 2023 (the “Notes”). The closing of the offering of the Notes is expected to occur on or around August 16, 2018.

 

The Notes are being offered only to qualified institutional buyers in reliance on Rule 144A of the Securities Act of 1933, as amended (the “Securities Act”), and outside the United States to non-U.S. persons in reliance on Regulation S under the Securities Act.

 

The Notes have not been registered under the Securities Act or any state securities laws and, unless so registered, may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.
