Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Offi cers; Compensatory Arrangements of Certain Officers.

On June 29, 2018, Ray Singleton informed Earthstone Energy, Inc. (the "Company") of his decision to retire, effective June 30, 2018, from his position as Executive Vice President. Mr. Singleton will continue to serve on the Board of Directors of the Company (the “Board”) for which his current term expires in 2019. While serving as Executive Vice President, Mr. Singleton received no additional compensation for serving on the Board. Upon his retirement, he will begin to be compensated consistent with our other compensated directors.
