Item 8.01Other Events.

 

On January 24, 2018, the board of directors (the “Board”) of Tidewater Inc. (“Company”) at the recommendation by its nominating and corporate governance committee, took certain actions with respect to the directors’ compensation.  

 

Changes in Base Salaries Effective January 1, 2018.  In support of the Company’s overall cost-cutting efforts, the Board approved a 15% decrease in the cash portion of base annual compensation paid to each non-employee director effective January 1, 2018.  The Board made no changes to the fees paid to Board or committee chairpersons or the equity portion of director compensation.
