IHS Markit Ltd. (“IHS Markit”) is a foreign private issuer that prepares its proxy statement in accordance with Bermuda law requirements, although it files periodic and current reports on U.S. domestic issuer forms. IHS Markit’s proxy statement, dated February 21, 2017, was furnished as exhibit 99.1 to its report on Form 8-K furnished on February 21, 2017. IHS Markit is furnishing certain supplemental information to its proxy statement as an exhibit to this report on Form 8-K.
