The undersigned, a director of General Cable Corporation, a Delaware corporation (the “Company”), which anticipates filing with the Securities and Exchange Commission (the “Commission”) pursuant to the provisions of the Exchange Act of 1934, as amended, an Annual Report on Form 10-K (the “Annual Report”) for the fiscal year ended December 31, 2016 (together with any and all subsequent amendments) does hereby constitute and appoint Michael T. McDonnell and Emerson C.
