Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment
of Certain Officers; Compensatory Arrangements of Certain Officers.
On February 8, 2017, Jerrod Foresman submitted to Ministry Partners Investment Company, LLC (the “Company) his resignation as Chairman of the Board of Managers of the Company’s wholly-owned subsidiary Ministry Partners Securities, LLC (“MP Securities”). The resignation was not the result of any disagreement with the Company and Mr. Foresman will continue to serve as a member of the Company’s Board of Managers. As a result of Mr. Foresman’s resignation, R. Michael Lee, the Company’s Chairman of the Board of Managers, was appointed to serve as Chairman of the Board of Managers of MP Securities and Abel Pomar
was appointed to serve as a Manager of MP Securities. Mr. Pomar currently serves as a member of the Company’s Board of Managers.
