Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On June 2, 2016, the board of directors of Cachet Financial Solutions, Inc., a Delaware corporation (“Cachet”), approved the Cachet Financial Solutions Inc. 2016 Stock Incentive Plan (the “2016 Plan”). The terms of the 2016 Plan provide for the grant of equity awards for up to 9,000,000 shares of the Company’s common stock. Eligible awards include stock options, stock appreciation rights, restricted stock and restricted stock units. No further awards may be made under the plan following June 2, 2026.
