Item 8.01. Other Events. | |

On May 22, 2015, Associated Bank, N.A. (the Bank), the wholly-owned subsidiary of Associated Banc-Corp (the Company), entered into a Conciliation Agreement (Agreement) with the U.S. Department of Housing and Urban Development (HUD). The Agreement resolves the previously disclosed HUD investigation into the Banks compliance with fair housing laws during the period from 2008 to 2011. A copy of Conciliation Agreement is attached hereto as an exhibit and is incorporated herein by reference. The commitments of the Bank under the Conciliation Agreement, which are spread over a three-year period, are not expected to have a material effect on the Companys financial condition or results of operations. | |
