On May 7, 2015 the Registrant issued a press release reporting its earnings for the first quarter ended March 31, 2015. A teleconference was conducted in conjunction with the press release. The press release is furnished as Exhibit 99.
Item 8.01 | Other Events |
On May 7, 2015, the Registrant announced that its board of directors has approved a three-for-two stock split of the Registrant’s outstanding shares of common stock, to be effected in the form of a 50 percent stock dividend. Stockholders of record at the close of business on June 16, 2015 will receive one additional share of EMC Insurance Group Inc. common stock for every two shares of common stock held. The additional shares of EMC Insurance Group Inc. common stock will be distributed on June 23, 2015, and trading of shares on a split-adjusted basis is expected to begin on June 24, 2015. The par value of the common stock will remain at $1.00 per share after the completion of the stock split.
