Item 2.02. Results of Operations and Financial Condition.

On January 30, 2015, Park Sterling Corporation (“Park Sterling”) announced its financial results for the fourth quarter ended December 31, 2014.  A copy of the related press release is furnished as Exhibit 99.1. The information included herein, as well as Exhibit 99.1 referenced herein, shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), nor shall it be deemed incorporated by reference in filings under the Securities Act of 1933, as amended (the “Securities Act”).

Item 7.01. Regulation FD Disclosure.

On January 30, 2015, Park Sterling will hold an investor conference call to disclose its financial results for the fourth quarter ended December 31, 2014. A copy of the slide package prepared for use by executive management for this presentation is furnished as Exhibit 99.2. All of the information in the presentation is presented as of January 30, 2015, and Park Sterling does not assume any obligation to update such information in the future.

Item 8.01. Other Events.

Dividend

On January 29, 2015, Park Sterling issued a press release announcing that its board of directors (“Board”) declared a quarterly cash dividend to its common shareholders of $0.03 per common share, payable on February 24, 2015 to all common shareholders of record as of the close of business on February 10, 2015. Future dividends will be subject to Board approval. A copy of the press release is attached as Exhibit 99.3 and is incorporated herein by reference.

Change in Transfer Agent

Effective January 26, 2015, Park Sterling has appointed American Stock Transfer & Trust Company, LLC as the Company’s transfer agent, registrar and dividend disbursing agent for its common stock.
