Item 8.01. Other Events.
On November 12, 2014, Multi-Color Corporation (“Multi-Color”) announced by press release a proposed offering of $250 million aggregate principal amount of senior notes due 2022 to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”) and in offshore transactions pursuant to Regulation S under the Securities Act (the “Notes Offering”). A copy of the press release regarding the Notes Offering is attached as Exhibit 99.1 hereto and is incorporated herein by reference.
