Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(b) Resignation of a Director. By letter dated April 15, 2014, Grant E. Gustafson resigned from the Board of Directors of the Company. Mr. Gustafson’s resignation did not reflect any disagreements with the Company but will permit him to devote his professional time to Stock Building Supply. As of November 2013 Mr. Gustafson has been employed as General Manager in California for Stock Building Supply, a large, diversified building materials and lumber distributor and solutions provider that sells to new construction and repair and remodel contractors. Mr. Gustafson had been a member of the Board of Directors of the Company since January 2012. At the time of his resignation, Mr. Gustafson was the Chairman of the Nominating and Corporate Governance Committee. The Board of Directors expresses its appreciation to Mr. Gustafson for his contributions to the Company and wishes him well in the future.
