Item 8.01 | Other Events. |
On October 28, 2013, Transcept Pharmaceuticals, Inc. (“Transcept”) announced that Retrophin, Inc. had filed a purported derivative suit (the “Action”) in the Court of Chancery of the State of Delaware against Transcept’s then-current directors, purporting to assert claims on behalf of Transcept and alleging that Transcept’s Board of Directors approved and paid excessive compensation to its directors. On January 13, 2014, Transcept issued a press release announcing that Retrophin, Inc. acknowledged that it no longer had standing to pursue the Action and had agreed to dismiss the Action. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated by reference herein.
