Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On October 29, 2013, the Compensation Committee of the Board of Directors (the “Committee”) of National Instruments Corporation (“NI”) approved a payment under the NI Annual Incentive Plan of $43,719 to the estate of Phillip D. Hester, NI’s Senior Vice President, Research and Development who passed away on September 17, 2013. Since Mr. Hester’s employment period did not include all of 2013, the Committee used its discretionary authority under the plan to approve such payment.
