Item 8.01                      Other Events.
 
On November 12, 2012, International Shipholding Corporation, a Delaware corporation (the “Company”), announced its intention, subject to market conditions, to offer and sell up to $40,000,000 of its common shares in an underwritten public offering.  The Company plans to grant the underwriters an option to purchase additional shares of its common stock to cover over-allotments, if any.  The actual amount of shares sold will depend on market conditions.
 
A copy of the press release announcing the proposed offering of common stock is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
