Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Effective September 30, 2011, Exactech, Inc., a Florida corporation (the “Company”), entered into a third amendment (the “Amendment”) to the employment agreement, dated March 31, 2008, as amended, by and between the Company and Dr. William Petty, the Company’s Chief Executive Officer and Chairman of the Board of Directors. Pursuant to the Amendment, Dr. Petty’s tenure as CEO has been extended through October 31, 2011, during which extension the Company and Dr. Petty anticipate negotiating a new employment agreement that would extend Dr. Petty’s tenure as CEO through December 31, 2013.
