Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 15, 2010, the Registrant’s Board of Directors elected Robert B. Aiken, Jr. to serve as a Class I director. The Governance Committee of the Board of Directors has not yet determined Committee memberships for Mr. Aiken.
Mr. Aiken will receive compensation pursuant to the Summary of Director Compensation which has been described and filed as an exhibit to the Company’s prior SEC filings.
A Press Release announcing the election of Mr. Aiken to the Board of Directors of the Registrant is attached as Exhibit 99 and incorporated herein by reference.
