Item 1.01 Enter into A Material Contract.

 

On August 12, 2021, Bright Mountain Media, Inc. (the “Company”) and its subsidiaries CL Media Holdings LLC, Bright Mountain Media, Inc., Bright Mountain LLC, MediaHouse, Inc. entered into a Third Amendment to Amended and Restated Senior Secured Credit Agreement (the “Agreement”). The Company and its subsidiaries are parties to a credit agreement between itself and Centre Lane Partners Master Credit Fund II, L.P. as Administrative Agent and Collateral Agent dated June 5, 2020, as amended (the “Credit Agreement”). The Credit Agreement was amended to provide for an additional loan amount of $500,000. This term loan shall be repaid in monthly installments beginning on August 31, 2021 through December 31, 2021. The Company issued an additional 2,000,000 shares of common stock to the lender.

 

The terms and conditions of this Agreement are qualified by its entirety by reference to the Amendment, a copy of which is attached to this Report as Exhibit 10.1 which is incorporated herein by reference.
