Item 7.01 Regulation FD Disclosure.

 

On May 5, 2021, MassRoots, Inc., a Delaware corporation (the “Company”), issued a press release announcing that it had entered into a Letter of Intent to purchase Empire Services, Inc., a Virginia corporation (“Empire”, and the “Letter of Intent”). A copy of the press release is being furnished as Exhibit 99.1 hereto and is incorporated into this Item 7.01 by reference.
