ITEM 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On July 28, 2020, Timothy R. Donovan, a Class A Director of John B. Sanfilippo & Son, Inc. (the “Company”) notified the Company that he will not stand for reelection at the 2020 annual meeting of stockholders (the “Annual Meeting”) and will be retiring from the Board of Directors of the Company in connection with such Annual Meeting. Mr. Donovan’s retirement was not due to a disagreement with the Company. The Board of Directors of the Company thanks Mr. Donovan for his many years of distinguished service and significant contributions to the Company. In accordance with the Restated Certificate of Incorporation and the Amended and Restated Bylaws of the Company, the holders of Class A Common Stock will nominate directors (including a replacement director for Mr. Donovan) for election by the holders of Class A Common Stock at the Annual Meeting.
