Item 1.01 Entry into a Material Definitive Agreement. 

On April 15, 2020, SenesTech, Inc. (the “Company”) entered into a loan agreement with BMO Harris Bank National Association as the lender (the “Lender”) in an aggregate principal amount of $645,700 (the “Loan”) pursuant to the Paycheck Protection Program (the “PPP”) under the Coronavirus Aid, Relief, and Economic Security Act (the “CARES Act”). The PPP is administered by the U.S. Small Business Administration.

 

The Loan is evidenced by a promissory note dated April 15, 2020 and matures April 15, 2022. The Loan bears interest at a rate of 1.00% per annum and contains customary events of default including, among other things, payment defaults. The Loan closed and was funded April 20, 2020.

 

Under the terms of the CARES Act, PPP loan recipients can apply for and be granted forgiveness for all or a portion of loans granted under the PPP. The Loan is subject to forgiveness to the extent proceeds are used for qualifying expenses, including certain payroll, utility, rent and mortgage interest expenses (collectively, “Qualifying Expenses”), pursuant to the terms and limitations of the PPP. The Company intends to use a majority of the Loan amount for Qualifying Expenses. However, no assurance is provided that the Company will obtain forgiveness of the Loan in whole or in part.
