On April 17, 2020, Independence Holding Company issued a press release announcing that it intends to commence a tender offer by the end of this month to purchase up to 1,000,000 shares of its common stock at a price per share of $27.00. A copy of the press release is filed as Exhibit 99.1 hereto and is incorporated herein by reference.
