ITEM 2.03.

CREATION OF A DIRECT FINANCIAL OBLIGATION OR AN OBLIGATION UNDER AN OFF-BALANCE SHEET ARRANGEMENT OF A REGISTRANT.

As previously reported, on January 28, 2020, Oncor Electric Delivery Company LLC (“Oncor”) entered into a Term Loan Credit Agreement (the “Term Loan Agreement”) among Oncor, as borrower, the lenders listed therein (the “Lenders”), and Sumitomo Mitsui Banking Corporation (“SMBC”), as administrative agent for the Lenders and as a Lender. The Term Loan Agreement provides for a term loan credit facility in an aggregate principal amount of up to $450 million. The Term Loan Agreement matures on June 1, 2021. On March 16, 2020, Oncor drew down the remaining $232 million available for borrowing under the Term Loan Agreement and intends to use the proceeds for general corporate purposes. Oncor’s borrowing under the Term Loan Agreement bears interest at a per annum rate equal to, at Oncor’s option, (i) LIBOR plus 0.50% until June 1, 2021 or (ii) an alternate base rate (the highest of (1) the prime rate of SMBC, (2) the federal funds effective rate plus 0.50%, and (3) daily one-month LIBOR plus 1%).

The foregoing discussion of the terms of the Term Loan Agreement is not complete and is subject to, and qualified in its entirety by reference to, the Term Loan Agreement filed as Exhibit 10.1 to the Prior 8-K.
