Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On January 31, 2020, the Board of Directors of the Federal Home Loan Bank of San Francisco (Bank) approved amendments to the Bank’s bylaws. The amendments include a revision to clarify that the bylaws do not require the Board to amend any previously approved budget and that the Board would take any appropriate action regarding a previously approved budget as may be required under applicable laws and regulations. In addition, various technical, punctuation and conforming changes were made throughout the bylaws. The effective date of these amendments is January 31, 2020.

The foregoing description of the amendments to the Bank’s bylaws is qualified by reference to the amended and restated bylaws, a copy of which, marked to show changes from the prior version, is attached as Exhibit 3.1 and incorporated herein by reference.
