Item 8.01. Other Events.

On January 14, 2020, The Community Financial Corporation (the “Company”) issued a press release announcing that it will redeem all of its outstanding 6.25% Fixed to Floating Rate Subordinated Notes due February 15, 2025 (CUSIP No. 20368XAA9) (the “Subordinated Notes”) on February 15, 2020. The Subordinated Notes were originally issued in the principal amount of $23,000,000. The Subordinated Notes shall be redeemed at a price equal to 100% of the principal amount plus any accrued and unpaid interest up to but excluding the redemption date of February 15, 2020. The redemption price is set at $23,718,750.
