Item 8.01 Other Events

Community First Bancshares, Inc. (the “Company”), the parent company of Newton Federal Bank, and ABB Financial Group, Inc. (“ABB”), the parent company of Affinity Bank, have received all required regulatory and shareholder approvals to complete the merger pursuant to which ABB will merge with and into the Company, with the Company as the surviving corporation. Immediately thereafter, Affinity Bank will merge with and into Newton Federal Bank, with Newton Federal Bank as the surviving institution.

The merger is expected to close on January 10, 2020.
