On January 15, 2019, Franklin Financial Network, Inc. (the “Company”), the parent company of Franklin Synergy Bank (the “Bank”), issued a press release (the “Press Release”) announcing that the banking regulators have terminated, effective as of January 14, 2019, the Memorandum of Understanding (the “MOU”) previously entered into with the Bank in November 2016.
A copy of the Press Release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
