Item 5.02 – Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
(d) John Wiley & Sons, Inc. (the "Company") issued a press release today announcing that the Wiley Board of Directors has elected Beth Birnbaum, former Chief Operating Officer at PlayFab, to join the Board of Directors effective September 27, 2018. Ms. Birnbaum will be a member of the Board's Technology Committee.
Ms. Birnbaum will participate in the Company's non-employee director compensation policy.
There were no arrangements or understandings between Ms. Birnbaum and any other persons pursuant to which Ms. Birnbaum was selected as a director. Ms. Birnbaum does not have any direct or indirect material interest in any transaction required to be disclosed pursuant to Item 404(a) of Regulation S-K.
