Item 1.01    Entry into a Material Definitive Agreement

On April 20, 2018, Cray Inc. (“Cray”) and Wells Fargo Bank, National Association (“Wells Fargo Bank”) executed a Second Amendment to Credit Agreement (the “Amendment”) to that certain Amended and Restated Credit Agreement (the “Credit Facility”) between Cray and Wells Fargo Bank dated January 7, 2016. Pursuant to the Amendment, the Credit Facility was reduced from $50.0 million to $15.0 million, and will be secured by a first priority lien on up to $15 million of Cray’s investments account held with Wells Fargo Bank.
