Item 3.02. Unregistered Sale of Equity Securities.

 

On November 30, 2017, FS Credit Real Estate Income Trust, Inc. (the “Company”) received $10,240,000 relating to the sale and issuance of 408,795 shares of its Class S Common Stock at the per share purchase price of $25.05 (the “Private Placement”).  The Private Placement is exempt from registration under Section 4(2) of the Securities Act of 1933 and Regulation D promulgated thereunder because the purchasers are accredited investors within the meaning of Rule 501(a) of Regulation D.

 

Item 8.01. Other Items.

 

Investment Activity

 

On December 6, 2017, the Company closed a $18.66 million senior floating-rate mortgage loan (of which $11.14 million was funded at closing) (the “Metro-Plex Loan”), secured by two office buildings totaling 293,483 square feet located in Landover, MD, approximately ten miles northeast of the Washington, D.C. CBD and adjacent to the I-495 (the Capital Beltway) and the New Carrollton train station. The Company funded the purchase of the Metro-Plex Loan with cash on hand and proceeds from the Private Placement.

The Metro-Plex Loan bears interest at a floating rate of 4.85% over the one-month London Interbank Offered Rate with an interest rate floor of 6.10% per annum and an appraised loan to value ratio of approximately 67%. The Metro-Plex Loan has an initial 36-month term with two 12-month extensions for the borrower subject to satisfaction of certain performance tests and the payment of an extension fee.
