ITEM 8.01. OTHER EVENTS.

On October 30, 2017, Sempra Energy (“Sempra”) publicly disclosed certain information provided to it by Oncor Electric Delivery Company LLC (“Oncor”). In particular, Sempra provided a component breakdown of Oncor’s future expected capital expenditures disclosed in Oncor’s Form 10-Q for the period ended September 30, 2017. As provided to Sempra by Oncor, the breakdown of total expected expenditures for the years 2018-2022 is approximately $3.5 billion of transmission expansion, $700 million of transmission maintenance, $1.7 billion of distribution expansion, $1.5 billion of distribution maintenance, $400 million of automation and $600 million of information technology.
