Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year

 

On October 19, 2017, Immune Pharmaceuticals Inc. (the “Company”), in connection with its previously announced underwritten public offering of its Series E 8% Convertible Preferred Stock (the “Preferred Stock”) and related warrants to purchase shares of the Company’s common stock (the “Offering”), filed a Certificate of Designation of Preferences, Rights and Limitations of Series E 8% Convertible Preferred Stock (the “Certificate of Designation”) with the Secretary of State of the State of Delaware setting forth the preferences, rights and limitations of the Preferred Stock to be issued in the Offering. The terms of the Preferred Stock are set forth in the Certificate of Designation, which is filed as Exhibit 3.1 hereto and incorporated by reference herein.
