Item 8.01 Other Events.
We are filing herewith historical unaudited financial statements of Visa Europe Limited (“Visa Europe”). We are filing these Visa Europe financial statements in connection with our post-effective amendment to our registration statement on Form S-3, which will permit the Visa Foundation to sell up to 2,199,780 shares of our class A common stock.
