Item 8.01 Other Events.

On May 8, 2017, DexCom, Inc. (“DexCom”) issued a press release announcing the pricing of its offering of $350 million aggregate principal amount of 0.75% Convertible Senior Notes due 2022 (the “Notes”) in a private placement to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended. The size of the offering was increased from the previously announced $300 million in aggregate principal amount. DexCom also granted the initial purchasers of the Notes an option to purchase up to an additional $50 million aggregate principal amount of Notes solely to cover over-allotments, if any. A copy of the press release announcing the pricing of the Notes is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
