Item 5.03 Amendments to Articles of Incorporation or Bylaws
On March 9, 2017 the Board of Directors of Franklin Financial Services Corporation approved a resolution that amends Section 3.15 of the bylaws of the Corporation. The current bylaws provide for automatic retirement at the end of the calendar year in which the director reaches age 70. This amendment changes the automatic retirement date to the end of the calendar year in which the director reaches age 72.
A copy of the amended bylaws is attached as Exhibit 99 of this report.
