Item 1.01 Entry Into a Material Definitive Agreement.

 

On February 24, 2017, PCM, Inc. (“PCM” or “Company”), certain of its wholly-owned domestic subsidiaries (collectively, the “US Borrowers”) and certain of its Canadian subsidiaries (collectively, the “Canadian Borrowers”) entered into a Second Amendment to Fourth Amended and Restated Loan and Security Agreement (the “Amendment”) with certain lenders named therein (the “Lenders”) and Wells Fargo Capital Finance, LLC as administrative and collateral agent for the Lenders (the “Agent”).

 

The Amendment provides for, among other things: (i) an increase in the Maximum Credit, as defined in the Amendment, from $290,000,000 to $345,000,000; and (ii) an extension of the Maturity Date from March 19, 2019 to March 19, 2021.

 

The foregoing description of the Amendment is qualified in its entirety by reference to the full text of the Amendment, a copy of which is filed as Exhibit 10.1 hereto and is incorporated into this report by this reference.
