Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year
 
On November 16, 2016, the Board of Directors of Universal American Corp. (the “Company”), approved a forum selection amendment to the Company’s Bylaws (the “Bylaw Amendment”), effective immediately prior to entry into the Merger Agreement (as defined below).  The Bylaw Amendment provides that unless the Company consents in writing to the selection of an alternative forum, the sole and exclusive forum for (a) any derivative action or proceeding brought on behalf of the Company, (b) any action asserting a claim of breach of a fiduciary duty owed by any current or former director, officer or, to the fullest extent permitted by law, employee or agent of the Company to the Company or the Company’s stockholders, or a claim of aiding and abetting any such breach of fiduciary duty, (c) any action asserting a claim arising pursuant to any provision of the Delaware General Corporation Law, the Company’s Certificate of Incorporation or Bylaws, or (d) any action asserting a claim governed by the internal affairs doctrine shall be the Court of Chancery of the State of Delaware  (or if the Court of Chancery in the State of Delaware lacks subject matter jurisdiction over any such action or proceeding, the sole and exclusive forum for such action or proceeding shall be another state or federal court located within the State of Delaware). Further, the Bylaw Amendment provides that any person who, or entity that, holds, purchases or otherwise acquires an interest in stock of the Company shall be deemed to have consented to the personal jurisdiction of such courts.

Other Events
On November 17, 2016, the Company and WellCare Health Plans, Inc. (“WellCare”) issued a joint press release announcing they have entered into an Agreement and Plan of Merger (the “Merger Agreement”), dated as of November 17, 2016, by and among the Company, WellCare and Wind Merger Sub, Inc. (a wholly owned subsidiary of WellCare). A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
