Item 5.02   Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

On October 19, 2016, Melvin L. Keating notified Modsys International Ltd. (the “Company”) of his decision to resign from the Board of the Directors of the Company (the “Board”), effective October 21, 2016. In submitting his resignation, Mr. Keating did not express any disagreement on any matter relating to the Company’s operations, policies or practices. Mr. Keating has offered to remain as an informal advisor to the Company’s senior management which was gladly accepted by the Company.
