Item 3.02. Unregistered Sales of Equity Securities.

Oclaro, Inc. (the “Company”) entered into a privately negotiated agreement dated August 8, 2016 pursuant to which it will (i) issue 12,051,282 shares (the “Shares”) of its common stock, par value $0.01 per share, and (ii) make a cash payment equal to $4.7 million in exchange for approximately $23.5 million aggregate principal amount of its 6.00% Convertible Senior Notes due 2020 (the “Notes”). The Company expects to issue the Shares and make the cash payment on or about August 9, 2016.

The issuance of Shares in connection with the agreement will be made pursuant to an exemption from the registration requirements of the Securities Act of 1933, as amended (the “Securities Act”), contained in Section 3(a)(9) of the Securities Act, on the basis that the exchange constitutes an exchange with an existing holder of the Company’s securities and no commission or other remuneration was or will be paid or given directly or indirectly to any party for soliciting such exchange.

This Current Report on Form 8-K does not constitute an offer to exchange any Notes or other securities of the Company for common stock or other securities of the Company.
