Item 8.01 Other Events.
On August 2, 2016, Stanley Furniture Company, Inc. (the “Company”) issued a news release announcing its Board of Directors (the “Board”) intends to issue two special dividends totaling $1.50 per share of common stock. The Board declared the initial special dividend of $1.25 per common share, payable in cash on August 19, 2016 to holders of record at the close of business on August 12, 2016. The Company expects the additional special dividend of $.25 per share to be declared once the Company has obtained a credit facility to fund fluctuations in working capital.
The press release is attached as Exhibit 99.1 to this Form 8-K and incorporated herein by reference.
